Terms of Use for End Users and Restaurants
1. Introduction
1.1. Welcome to FeedMe ("Company," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of the FeedMe platform (the "Platform"), which facilitates food ordering, takeout, and delivery services provided by independent restaurants ("Restaurants"). By accessing or using the Platform, you agree to these Terms. If you do not agree, you must discontinue use immediately.
1.2. Your use of the Platform is also subject to our Privacy Policy, which outlines how we collect, use, and protect your personal data. By using the Platform, you agree to the terms outlined in the Privacy Policy.
1.3. FeedMe is designed as a gastronomic personal assistant, enabling Users to browse menus, place orders, make payments, leave reviews, choose order fulfillment methods (delivery or pickup), and track order history. The Platform is available for both iOS and Android devices. FeedMe also provides Restaurants with a business management panel and application, allowing them to optimize order processing, customer engagement, and operational efficiency.
2. Definitions
2.1. "User" refers to any individual who accesses or uses the Platform to order food.
2.2. "Restaurant" refers to a third-party business offering food and delivery services through the Platform and utilizing FeedMe's management tools.
2.3. "Order" refers to any request placed through the Platform for food or beverage items from a Restaurant.
2.4. "Third-Party Payment Processor" refers to an independent service provider facilitating payment transactions on behalf of FeedMe.
3. Nature of Services
3.1. FeedMe acts as an intermediary between Users and Restaurants. We do not own, prepare, store, or deliver food.
3.2. FeedMe is not responsible for food quality, preparation, delivery, or order fulfillment, which remain the responsibility of the respective Restaurant.
3.3. FeedMe provides Restaurants with a platform to manage orders, customer interactions, and promotional campaigns and does not assume responsibility for the operational aspects of the Restaurant.
4. Account Registration and Access
4.1. Users may place orders as guests or by creating an account.
4.2. Restaurants must create a business account to access the management panel.
4.3. Users and Restaurants must provide accurate and complete information when creating an account.
4.4. FeedMe reserves the right to suspend or terminate accounts for any misuse or violation of these Terms.
5. Orders, Payments, and Refunds
5.1. Payments are processed via a Third-Party Payment Processor.
5.2. Once an order is paid for, it is final. Cancellations will not be refunded unless otherwise determined by the Restaurant.
5.3. If an order is not fulfilled or incorrect, Users should contact the respective Restaurant.
5.4. FeedMe is not liable for refunds or compensations.
5.5. Pricing and fees are determined by Restaurants and may include taxes and service fees.
5.6. Restaurants are responsible for ensuring accurate pricing, menu availability, and handling refunds.
6. Limitations of Liability
6.1. FeedMe is not responsible for food quality, preparation, delivery time, or any aspect of the service provided by the Restaurant.
6.2. FeedMe is not liable for illness, allergic reactions, or health-related issues arising from food ordered.
6.3. To the fullest extent permitted by law, FeedMe disclaims all warranties and representations regarding Restaurant services.
7. Prohibited Uses
7.1. Users and Restaurants are prohibited from attempting unauthorized access to the Platform or its systems.
7.2. Users and Restaurants are prohibited from engaging in fraudulent transactions, including false chargebacks.
7.3. Users and Restaurants are prohibited from posting or distributing unlawful, harmful, defamatory, or objectionable content.
7.4. Users and Restaurants must not violate any applicable laws, regulations, or third-party rights.
8. Data Protection and Security
8.1. FeedMe employs security measures to protect data; however, no system is fully secure.
8.2. Users and Restaurants are responsible for maintaining confidentiality of their account credentials.
9. Service Availability
9.1. FeedMe strives to provide uninterrupted service but does not guarantee Platform availability.
9.2. FeedMe may suspend, modify, or discontinue services for maintenance or unforeseen circumstances.
10. Compliance with Local Laws
10.1. Users and Restaurants agree to comply with all applicable local, state, national, and international laws and regulations, including health, safety, and tax regulations.
11. Marketing & Promotions
11.1. FeedMe may offer promotions, discounts, or advertising opportunities.
11.2. FeedMe may modify or terminate promotions at its discretion.
11.3. Marketing materials and discounts must comply with applicable laws.
12. Dispute Resolution & Arbitration
12.1. Any dispute relating to these Terms shall be resolved through binding arbitration under the laws of Israel.
12.2. Arbitration shall be conducted before a single mutually agreed arbitrator.
12.3. If not agreed within 14 days, an arbitrator shall be appointed by the President of the Israel Bar Association.
12.4. The initiating party must provide written notice describing the dispute.
12.5. Arbitration shall commence within 30 days of the arbitrator’s appointment.
12.6. Arbitration will take place in Tel Aviv, Israel, in Hebrew, unless agreed otherwise.
12.7. The arbitrator's decision shall be final and binding.
12.8. Each party bears its own expenses unless the arbitrator decides otherwise.
13. User Responsibilities
13.1. Users must provide accurate order details and comply with applicable laws.
13.2. Users must not disrupt the Platform or services.
14. Subscription and Fees for Restaurants
14.1. Restaurants agree to pay applicable subscription and service fees.
14.2. Subscription fees may be billed on a monthly or annual basis.
14.3. Additional transaction or marketing fees may apply for premium features.
14.4. Restaurants will be notified in advance of any fee changes.
14.5. Continued use constitutes acceptance of updated fees.
14.6. FeedMe may suspend services for unpaid balances.
14.7. Restaurants may cancel subscriptions with 60 days’ notice as outlined in their agreement.
15. No Agency Relationship
15.1. Nothing in these Terms creates an agency, employment, or partnership relationship.
16. Changes to Terms
16.1. FeedMe reserves the right to modify these Terms at any time.
16.2. Changes will be communicated electronically.
16.3. Continued use of the Platform constitutes acceptance of updated Terms.
17. Governing Law and Jurisdiction
17.1. These Terms are governed by the laws of Israel.
17.2. Any dispute shall be subject to the jurisdiction of the courts in Tel Aviv, Israel.
18. Termination
18.1. FeedMe may terminate or suspend access for violations, misuse, or legal compliance requirements.
